These Terms & Conditions ("Terms") govern your use of unlockwithai.com and the services provided by Unlock with AI, a brand of REI Unlock, LLC ("Unlock with AI," "we," "us," "our"). By using the website or purchasing our services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the website or services.

If you have signed a proposal, statement of work or service agreement with us (an "Agreement"), that Agreement controls wherever it differs from these Terms.

1. Definitions

• "Client," "you," "your" means the person or business using the website or purchasing services.
• "Services" means everything we provide, including custom AI agents for voice, SMS, webchat and email, CRM setup, automations and integrations, websites and funnels, training, consulting, managed advertising and support.
• "Deliverables" means the systems, configurations, prompts, scripts and materials we build for you.

2. Eligibility and use of the website

• You must be at least 18 and able to enter a binding contract.
• Use the website and Services only for lawful purposes. Do not interfere with, copy, scrape or reverse engineer the website or Services.
• Calculators and estimates on this site are illustrations based on the numbers you enter. They are not guarantees of results.

3. Services and engagements

Each engagement is scoped in a proposal or Agreement that sets out the Deliverables, timeline, setup fee and monthly fee. Typical engagements include a one-time setup fee based on scope, a monthly fee covering platform access, usage and support, and optional add-ons. Custom builds can take up to 90 days for full delivery depending on scope and how quickly you provide access, content and feedback.

You agree to provide timely access to the accounts, information and decisions we need. Delays on your side extend timelines and do not pause fees.

4. AI, calling and messaging: your responsibilities

We may pause or suspend any campaign, number or agent that we believe violates the law, carrier rules or these Terms.

5. Fees and payment

• Fees are set out in your proposal or Agreement. Monthly fees are billed in advance and renew automatically until cancelled as described below.
• Usage-based charges, such as AI minutes, SMS and email volume, phone lines, data enrichment and ad spend, are billed as incurred unless your Agreement says otherwise.
• Payments are processed by our payment provider. You authorize us to charge your payment method on file for all fees due.
• Late or failed payments may result in suspension of Services until the balance is paid.
• Prices may change with at least 30 days' notice to active clients.

6. Refunds

• Setup fees are non-refundable. They cover discovery, design and build work that begins when you purchase.
• Usage charges and completed services (for example, ads run, messages sent or data delivered) are non-refundable.
• For custom builds, a partial refund of up to 65% of fees paid (excluding setup fees) may be considered only if you have: (1) completed all milestones assigned to you, (2) attended at least 75% of scheduled meetings, including setup and onboarding, (3) fully implemented the system as delivered, and (4) responded to our team within 48 business hours of communications. Refunds are not guaranteed and are decided case by case.

7. Cancellation

You may cancel monthly Services by giving written notice to [email protected]. The notice period stated in your Agreement applies; if your Agreement does not state one, cancellation takes effect 30 days after we receive written notice. Fees and usage charges continue during the notice period. Cancelling does not refund fees already paid.

8. Ownership

• You own your business data, your content, and your customer lists.
• Once fees are paid in full, you may use the Deliverables built for you in your business. We keep ownership of our pre-existing tools, templates, frameworks, prompts and know-how, and may reuse general methods for other clients without using your confidential information.
• Website content, trademarks and logos on unlockwithai.com belong to us or our licensors and may not be used without written permission.
• Unless you tell us otherwise in writing, you allow us to name you as a client and describe the work in general terms in our marketing.

9. Third-party platforms

The Services rely on third-party platforms such as CRMs, telephony and messaging carriers, AI model providers, calendars and ad networks. Their availability, pricing and policies are outside our control, and changes to them may affect the Services. We are not responsible for outages, rejections or account actions taken by those providers.

10. Confidentiality

Each party will protect the other's non-public business information with reasonable care and use it only to perform or receive the Services.

11. Disclaimers

The website and Services are provided "as is" and "as available." We do not guarantee specific results, such as revenue, leads, appointments, response rates or rankings, and we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

12. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the website or Services will not exceed the fees you paid us in the three months before the claim arose.

13. Indemnification

You agree to defend, indemnify and hold harmless REI Unlock, LLC, Unlock with AI and their owners, employees and contractors from claims, losses, fines and expenses, including reasonable legal fees, arising from your use of the Services, your messages and calls, your violation of these Terms, or your violation of any law or third-party right, including the TCPA and carrier rules.

14. Termination

We may suspend or end Services if you breach these Terms or your Agreement, fail to pay, or use the Services in a way that creates legal or carrier risk. Sections that by their nature should survive, including fees owed, ownership, disclaimers, limitation of liability and indemnification, survive termination.

15. SMS terms

If you opt in to receive texts from Unlock with AI, we may send messages about your inquiry, appointments and reminders, your account and Services, and offers you have agreed to receive. Message frequency varies. Message and data rates may apply. Reply STOP to any message to unsubscribe; you will receive one confirmation and no further texts. Reply HELP for help or email [email protected]. Carriers are not liable for delayed or undelivered messages. Consent is not a condition of purchase. 16. Governing law

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the state and federal courts located in Maryland.

17. Changes

We may update these Terms from time to time by posting a new version on this page with a new "Last updated" date. Continued use of the website or Services after changes are posted means you accept them.
